FFusionXL 1.1 RESEARCH LICENSE AGREEMENT

This License Agreement ("License") is between the "Licensee" and FFusion AI Ltd. ("FFusion AI"), Source Code Bulgaria Ltd. ("Source Code Bulgaria"), and BlackSwan Technologies Ltd. This License governs your use of computer programs, algorithms, source code, object code, software, models, or model weights ("Software") and related specifications, manuals, and documentation ("Documentation") provided by FFusion AI and Source Code Bulgaria.
By accessing or using the Software, you accept and agree to abide by the terms of this License. If you disagree with these terms, you are not granted rights to the Software or Documentation (together, the "Software Products") and must discontinue their use immediately. If you are acting on behalf of an entity, you must ensure you have the authority to bind that entity to this License. Absent such authority, you may neither accept this License nor access the Software Products on behalf of said entity.
DEFINITIONS:
- "LORA" refers to checkpoints from specific models representing learned representations.
- "Software Products" refers to combined software, models, algorithms, and related materials provided under this License.
LICENSE & USAGE DISCLAIMERS:
- Licensee should review the full agreement before accessing or using the models.
- Models and weights are primarily for research and testing unless specified. General commercial use is not the primary intention.
- Exception for Commercial Use: Certain models are developed by FFusion AI using proprietary materials. These models can be used for commercial applications. Use of these models is recommended for an optimal experience.
- Disclaimer: FFusion AI, Source Code Bulgaria, and BlackSwan Technologies do not endorse the content produced by the LORA weights. The possibility of NSFW or offensive content exists. Collective responsibility for such content is disclaimed.
- Acknowledgement: Rights for the FFusionXL-BASE model and its alterations belong to FFusion AI and Source Code Bulgaria. Comply with this license and conditions set by Stability AI Ltd for base models.
USE-BASED RESTRICTIONS:
The Software Products must not be used for illegal or harmful activities including but not limited to: violation of laws or regulations, exploitation or harm to minors, spreading false or harmful personal information, defamation, harassment, and others.
OUTPUT GENERATION:
Neither FFusion AI, Source Code Bulgaria nor BlackSwan Technologies Ltd. asserts rights over outputs produced using the Software Products. Users are solely responsible for such outputs and their subsequent application. No rights are asserted over outputs produced using the Software Products. Licensee is responsible for such outputs.
UPDATES AND RUNTIME RESTRICTIONS:
Restrictions can be enforced if the Software Products are used contrary to this License.
DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY:
Software Products are "AS IS" with no warranties. Neither FFusion AI nor Source Code Bulgaria is liable for any damages related to this License or the use of Software Products.
ATTRIBUTION:
Any distribution of the Software Products or related works must include this License and the following attribution: "FFusionXL 1.1, licensed under FFusionXL Research License, Copyright (c) FFusion AI Ltd. Developed and maintained by FFusion.AI, a division of Source Code Bulgaria Ltd."
ADDITIONAL TERMS FOR FFUSION.AI
a. All uses of FFusionXL Extracted LORAs, or checkpoints merged using those LORAs, must credit FFusion.AI, Source Code Bulgaria Ltd, and the respective owner of the original checkpoint weights in public works or publications that utilize the model. b. The FFusionXL Extracted LORAs, or checkpoints merged using those LORAs are exclusively for non-commercial research. Commercial applications need a distinct license from Source Code Bulgaria Ltd or from respective owner of the original checkpoint weights. c. Users indemnify Source Code Bulgaria Ltd. and affiliates against any liabilities, losses, costs, damages, or expenses (including attorney fees) stemming from the FFusionXL-BASE model's use. d. Model Weights: The weights used for the models/loras are provided "as is." FFusion AI and Source Code Bulgaria do not grant any rights for their commercial use. These weights are strictly for testing and experimental purposes.
ORIGIN OF LORAS:
The LORAs and weights provided are extracted from SDXL models (checkpoints).
All licenses, terms, and conditions set forth by the original checkpoint creator must be respected and adhered to.

Acknowledgement of Original Work and Modifications:
This Software is inspired by the Stable Diffusion XL Base 1.0 by Stability AI Ltd. FFusion AI and Source Code Bulgaria have introduced modifications to the original Software to produce the FFusionXL-BASE model. Rights to these modifications belong to FFusion AI and Source Code Bulgaria, while the original Software and its intellectual property rights remain with Stability AI Ltd. The FFusionXL-BASE model's use is bound by this License and any conditions set by Stability AI Ltd. for the original Software.
Termination of the License The License and the rights granted hereunder will terminate automatically upon any breach by the Licensee of the terms of this License.
Such a termination will not terminate the licenses of any person who has received the Software Products from the Licensee under this License, provided such persons remain in full compliance with this License.
MISCELLANEOUS:
This License is the complete agreement between the Parties regarding the Software Products.
FFusion AI, Source Code Bulgaria, and BlackSwan Technologies Ltd may release other versions of this License. All linguistic versions approved by these entities hold identical value.
BlackSwan Technologies Ltd played a pivotal role in developing AI FFUSION INSTINCT and FFusion AI Instinct as of September 2023.
JURISDICTION
Without prejudice to specific agreements between parties:
Any litigation resulting from the interpretation of this License, arising between FFusion AI or Source Code Bulgaria and any Licensee, will be subject to the exclusive jurisdiction of the competent court where FFusion AI or Source Code Bulgaria resides or conducts its primary business.
Any litigation arising between other parties and resulting from the interpretation of this License, will be subject to the exclusive jurisdiction of the competent court where the Licensor resides or conducts its primary business.
APPLICABLE LAW:
Without prejudice to specific agreements between parties:
This Licence shall be governed by the law of the European Union Member State and by the laws of the country where FFusion AI or Source Code Bulgaria has its primary establishment.
This License shall be governed by Bulgarian law if FFusion AI or Source Code Bulgaria does not have its primary establishment in the previously mentioned country.
